1. Introduction
Calligo Technologies Private Limited, a company incorporated under the laws of India with its registered office at #55/C-42/I, Nandi Mansion, 1st Floor, 40th Cross, Jayanagar 8th Block, B Sk II Stage, Bangalore, Karnataka, India, – 560070 (hereinafter referred to as “Calligo Tech”), is engaged in the development and provision of advanced silicon-based solutions for computational applications. UTTUNGA, a high-performance computing (HPC) accelerator card, constitutes a product of Calligo Tech and is distinguished as India’s first HPC solution to incorporate the POSIT number system. Built on the TUNGA ASIC with a multi-core RISC-V architecture, UTTUNGA comprises a PCIe-based hardware platform, embedded firmware, and associated supporting software, including enhanced compilers (C/C++/Fortran), Python, and scientific libraries (openBLAS) designed to facilitate HPC workloads with enhanced precision and efficiency, operable independently or integrated with a host system. This document constitutes the limited warranty provided by Calligo Tech for UTTUNGA, furnished in printed form accompanying the product upon shipment and in digital form accessible via Calligo Tech’s support infrastructure.
1.1. Purpose and Scope. This Limited Warranty (hereinafter referred to as the “Warranty”) 1.1. Purpose and Scope. This Limited Warranty (hereinafter referred to as the “Warranty”) set forth the terms and conditions under which Calligo Tech warrants the UTTUNGA product against defects in its hardware and software components, delineates the respective rights and obligations of Calligo Tech and the purchases, and prescribes the procedures for submitting and resolving warranty claims. This Warranty is furnished in printed form accompanying the product upon shipment and in digital form, accessible via Calligo Tech’s designated support webpage at https://calligotech.com/uttunga/warranty/
1.2. Updates and Applicability. Calligo Tech reserves the unilateral right to amend or modify this Warranty at its sole discretion, with the most current version maintained and accessible on the support webpage. This Warranty exclusively applies to UTTUNGA units acquired directly from Calligo Tech or its authorized distributors, and its terms shall not extend to purchases from third-party resellers or secondary markets unless expressly agreed in writing by Calligo Tech.
1.3. Open-Source Context.UTTUNGA incorporates certain open-source Hardware and Software components, which augment its functionality but necessitate specific delineation of warranty obligations. This Warranty is structured to clearly define Calligo Tech’s responsibilities, expressly excluding liabilities arising from such open-source elements unless explicitly provided by Calligo Tech, and Calligo Tech provides no support or warranty for these components beyond their integration as shipped. Purchasers are solely responsible for compliance with applicable open-source licenses (e.g., MIT, GPL), thereby ensuring legal certainty and limiting Calligo Tech’s exposure to risks beyond its proprietary contributions.
2. Warranty Coverage
Calligo Tech warrants that UTTUNGA HPC accelerator card, when operated in accordance with the UTTUNGA Technical Manual (provided with purchase or accessible at https://calligotech.com/uttunga/manual), shall be free from defects in materials, workmanship, and specified software functionality for the duration stipulated in Section 3 of this Warranty. This Warranty extends to the hardware and software components integral to UTTUNGA’s operation, as delineated herein, subject to the conditions, limitations, and exclusions set forth herein.
2.1. Hardware Components. Calligo Tech warrants the physical components of UTTUNGA, comprising the PCIe accelerator card, the RISC-V-based TUNGA ASIC, FPGA from Microchip Technology, integrated circuits, onboard memory modules, power delivery subsystems, and physical connectors including the PCIe edge connector, against defects in materials or workmanship arising from the manufacturing process. This warranty encompasses failures such as silicon die malfunctions causing computational inaccuracies, degradation of solder joints resulting in connectivity interruptions during normal use (defined as insertion forces not exceeding 10N per PCIe specifications), or power regulation malfunctions inducing thermal shutdowns within specified operational parameters, including an input voltage range of 5V to 12V DC and a maximum power consumption of 25W. Calligo Tech ensures that the hardware conforms to performance specifications outlined in the UTTUNGA Technical Manual, including sustained clock speeds and thermal stability under standard environmental conditions (e.g., ambient temperatures between 0°C and 40°C with minimum airflow of 50 cubic feet per minute), provided such performance is not compromised by external interference, misuse, or conditions beyond Calligo Tech’s control as specified in Section 5.
2.2. Embedded Software. Calligo Tech warrants the embedded operating system (OS) and firmware, pre-installed within UTTUNGA to enable its standalone functionality and implement the POSIT number system, against defects that materially impair its core operational capabilities. This warranty covers issues including, but not limited to, boot failures attributable to corrupted firmware images as originally shipped, POSIT-specific computational errors, directly resulting from defects in Calligo Tech’s proprietary code, and system crashes originating from the embedded OS during normal workloads. This assurance extends to UTTUNGA’s capacity to operate as a standalone HPC solution and to interface effectively with the supporting software provided by Calligo Tech, subject to adherence to the operational guidelines in the UTTUNGA Technical Manual.
2.3. Supporting Software: Calligo Tech warrants the enhanced compilers and scientific libraries, including but not limited to openBLAS, supplied with UTTUNGA for the generation of POSIT-enabled binaries compatible with the TUNGA CPU, against defects in functionality when utilized on supported host environments, such as Ubuntu 20.04 LTS or subsequent versions expressly certified by Calligo Tech. This warranty addresses defects such as compiler with the default optimization, producing inaccurate POSIT arithmetic outputs or library functions failing to yield correct results (e.g., erroneous matrix multiplication outcomes) when operated in accordance with the provided documentation. Any software updates issued by Calligo Tech during the Warranty Period shall be warranted against defects from the date of their release, provided such updates are installed within the original warranty timeframe as defined in Section 3, and subject to the same conditions and exclusions herein. Calligo Tech does not warrant that the operation of the UTTUNGA firmware, embedded OS, or supporting software will be uninterrupted, error-free, or compatible with all third-party software or hardware environments. Calligo Tech disclaims any responsibility for issues arising from the use of custom configurations, unsupported compiler flags, altered POSIT implementations, or integration with systems not expressly validated by Calligo Tech.
2.4. Open-Source Software Disclaimer: UTTUNGA incorporates open-source software components, such as libraries or drivers, which are integrated to enhance its functionality. These components are provided “as is” without any warranty, express or implied, from Calligo Tech beyond their configuration and integration with the embedded OS and supporting software as delivered at the time of shipment. Calligo Tech shall not be liable for defects, failures, or performance issues arising from modifications, additions, or reliance upon third-party open-source code not validated or supplied by Calligo Tech, nor shall Calligo Tech provide support, updates, or maintenance for such components. Purchasers assume sole responsibility for ensuring compliance with the terms of applicable open-source licenses (e.g., MIT License, GNU General Public License), and any breach thereof shall not impose liability upon Calligo Tech, thereby limiting Calligo Tech’s exposure to risks associated with community-driven or customer-implemented alterations.
3. Warranty Duration
Calligo Tech establishes a definitive warranty period for the UTTUNGA HPC accelerator card to provide certainty to purchasers while maintaining operational practicability. The warranty period commences on the date of original purchases, as substantiated by valid proof of purchase, and applies to the hardware and software components as specified herein, subject to the terms and conditions of this Warranty.
3.1. Standard Warranty Period: Calligo Tech warrants the hardware components of UTTUNGA, including the PCIe accelerator card, the TUNGA CPU, and associated physical elements, as well as the embedded operating system (OS), firmware, and supporting software comprising compilers and scientific libraries (e.g., openBLAS), against defects for a period of one (1) year from the date of purchase. This period shall be evidenced by a valid invoice or receipt issued by Calligo Tech or an authorized distributor, which must be presented upon submission of any warranty claim.
3.2. Lifetime Usage Clarification: Any reference to “lifetime” warranty in marketing materials, promotional content, or any other documentation issues by Calligo Tech shall be construed exclusive as pertaining to the active operational use of UTTUNGA within the one-year standard warranty period described herein. No extension of warranty coverage beyond this one year term is granted or implied unless expressly set forth in separate written agreement executed by Calligo Tech and the purchaser, such agreement to be duly signed by an authorized representative of Calligo Tech.
3.3. Verification and Transferability:The Warranty Period shall commence on the date of original purchase, as recorded on the invoice or receipt, and not on the date of installation, initial use, or any subsequent event, thereby establishing a fixed and ascertainable starting point for warranty coverage. Purchasers are required to retain proof of purchase in a legible form for the duration of the Warranty Period and for a reasonable period thereafter, not less than six (6) months following its expiration, to facilitate validation of any warranty claim submitted pursuant to Section 4. This Warranty is non-transferable and applies solely to the original purchaser of UTTUNGA, as identified on the proof of purchase, unless Calligo Tech provides prior written consent to a transfer, such consent to be granted at Calligo Tech’s sole discretion. This restriction is instituted to preclude unauthorized claims arising from secondary market transactions or other transfers not sanctioned by Calligo Tech.
3.4. Expiration of Claims: Any claim for a defect arising within the Warranty Period must be submitted to Calligo Tech pursuant to this Warranty prior to the expiration of the applicable Warranty Period, failing which the claim shall be deemed invalid, irrespective of when the defect first manifested.
3.5. Proof of Purchase Format: Proof of purchase shall include a valid invoice, receipt, or electronic purchase confirmation issued by Calligo Tech or an authorized distributor, clearly indicating the date of purchase, purchaser identity, and UTTUNGA serial number. Calligo Tech reserves the right to reject any claim where the proof of purchase is illegible, incomplete, or otherwise fails to meet these requirements, ensuring the authenticity and verifiability of warranty entitlements.
3.6. Software Lifecycle: Calligo Tech may declare certain versions of UTTUNGA’s embedded software, firmware, or supporting libraries as End of Life (“EOL”) upon notice via its official website or support channel. Upon such declaration, no further updates, patches, or support shall be available for the designated version, and warranty coverage shall cease, even if within the standard Warranty Period, unless otherwise specified.
4. Warranty Claim Process
Calligo Tech prescribes a structured procedure for the submission and resolution of warranty claims under this Warranty for the UTTUNGA HPC accelerator card. This process is designed to ensure prompt and efficient handling of claims while safeguarding Calligo Tech’s operational and financial interest, subject to the terms and conditions set forth herein.
4.1. Claim Initiation: Purchasers shall initiate warranty claims exclusively within the Warranty Period, as defined in Section 3, by submitting a formal request through Calligo Tech’s designated ticketing system, accessible at https://calligotech.com/uttunga/support. Each submission must include valid proof of purchase (comprising the invoice number and date of purchase), a detailed description of the alleged defect (including, where applicable, error logs, diagnostic reports, or observable hardware failure symptoms), and the UTTUNGA serial number affixed to the printed circuit board. Upon receipt of a complete submission, Calligo Tech shall issue a unique Claim ID for tracking purposes, which must be referenced in all subsequent correspondence. Claims must be filed within thirty (30) calendar days from the date of defect discovery to ensure timely resolution; however, Calligo Tech reserves the right, exercisable at its sole discretion, to accept late submissions within the Warranty Period provided the purchaser furnishes a written justification for the delay, acceptable to Calligo Tech, demonstrating that such delay was beyond the purchaser’s reasonable control.
4.2. Evaluation and Remedy. Upon receipt of a claim, Calligo Tech’s in-house support personnel shall evaluate the submission to determine its eligibility under this Warranty, based on the criteria outlined in Sections 2 and 5. Should physical inspection or repair be required, Calligo Tech may direct the purchaser to ship the UTTUNGA unit to a designated third-party repair facility, the address of which shall be provided alongside the Claim ID. If the claim is validated as falling within the scope of this Warranty, Calligo Tech shall, at its sole discretion, elect to either repair the product to restore it to full functionality in accordance with the UTTUNGA Technical Manual, replace it with a comparable unit (which may be new or refurbished to equivalent specifications), or issue a software update to rectify defects in the embedded firmware or supporting compilers, as applicable. Calligo Tech shall communicate an estimated resolution timeline, typically ranging from fifteen (15) to thirty (30) business days from the date of validation, with expedited processing afforded to defects materially impairing critical operational capabilities, such determination to be made by Calligo Tech. Calligo Tech reserves the right to reject any claim failing to meet the eligibility criteria, with notification provided to the purchaser specifying the basis for rejection.
4.3. Shipping and Associated Costs. For claims initiated within ninety (90) calendar days from the date of original purchase, Calligo Tech shall bear the reasonable costs of shipping the UTTUNGA unit to and from the designated repair facility, utilizing a prepaid shipping label issued with the Claim ID. For claims submitted beyond this ninety-day period but within the Warranty Period, the purchaser shall be responsible for the costs of shipping the unit to the repair facility, while Calligo Tech shall cover the cost of return shipping upon successful resolution of a validated claim. In instances where a claim is determined to fall outside the scope of this Warranty, Calligo Tech shall notify the purchaser in writing of the ineligibility, and the purchaser shall bear all shipping costs, as well as any repair or handling fees, with no remedial work performed unless the purchaser provides prior written approval for such costs. This provision ensures that Calligo Tech is not obligated to incur expenses for non-warranted issues, maintaining financial control over the claim process. Calligo Tech provides warranty service on a carry-in basis. The purchaser is responsible for transporting the UTTUNGA unit to and from the designated service facility, unless otherwise provided herein. Calligo Tech shall not be liable for damage, delay, or loss incurred during transit, particularly where the purchaser arranges such logistics independently.
4.4. Return Condition: Purchasers shall return UTTUNGA in its original condition, save for the reported defect, with all components intact and free from unauthorized modifications, failing which Calligo Tech may reject the claim at its discretion. This requirement ensures that the unit remains suitable for evaluation and repair, protecting Calligo Tech from liability for damages or alterations not attributable to its manufacturing or warranted components
5. Exclusions and Limitations
Calligo Tech specifies conditions under which this Warranty does not apply, ensuring protection from misuse, external factors, and open-source complexities beyond its control. These exclusions are established to shield Calligo Tech from liability arising from misuse, external influences, open-source software complexities, or other factors beyond its reasonable control, ensuring that warranty obligations remain confined to defects attributable to Calligo Tech’s manufacturing and proprietary contributions, as specified in Section 2.
5.1. Non-Covered Conditions: This Warranty shall not extend to defects, failures, or performance issues resulting from the host server operating system (e.g., Linux, Windows) or its configuration, encompassing compatibility conflicts, driver malfunctions, or degradation caused by host-side updates or modifications, as such environments are under the sole management and responsibility of the purchaser. Furthermore, this Warranty excludes coverage for defects arising from misuse or abuse of UTTUNGA, including operation beyond specified electrical parameters (e.g., input voltage exceeding 12V or current surpassing 5A), exposure to thermal overload conditions (e.g., ambient temperatures above 60°C or airflow below 50 cubic feet per minute), or physical damage resulting from improper handling, such as dropping, crushing, or excessive mechanical stress. Unauthorized modifications to UTTUNGA, whether involving hardware alterations (e.g., soldering, removal of the casing) or software changes (e.g., installation of third-party firmware or alteration of the embedded operating system), shall render this Warranty void in its entirety unless such modifications have been expressly authorized in writing by an authorized representative of Calligo Tech prior to their implementation. Routine maintenance, including dust removal, cleaning, or cosmetic polishing, shall not be considered defects under this Warranty, and Calligo Tech disclaims responsibility for resolving such issues unless directly tied to a manufacturing failure. This Warranty does not extend to SD card failures, except where such failure is directly attributable to a manufacturing defect in the SD card supplied by Calligo Tech as part of the original hardware. Failures resulting from normal wear and tear, misuse, use of unsupported or third-party SD cards, or improper handling (including hot swapping without proper shutdown) are expressly excluded.
5.2. Open-Source Software Exclusions: UTTUNGA incorporates open-source software components to enhance its functionality, and this Warranty expressly excludes any defects, failures, or performance issues arising from such components where they are unvalidated, modified, or supplemented by the purchaser or third parties (e.g., third-party POSIT libraries, drivers, or utilities not supplied by Calligo Tech). Calligo Tech shall not be liable for issues stemming from community-developed code, purchaser-initiated enhancements, or deviations from the validated software stack provided at the time of shipment, as these fall outside the scope of Calligo Tech’s proprietary contributions and quality assurance processes. Purchasers bear sole responsibility for any consequences, including legal or operational liabilities, resulting from the use or modification of such open-source elements, reinforcing a critical distinction within UTTUNGA’s software ecosystem.
5.3. External Factors and Wear: This Warranty does not cover damage or malfunction caused by external environmental conditions beyond the operational tolerances specified in the UTTUNGA Technical Manual, including but not limited to excessive humidity (exceeding 85% relative humidity), immersion in liquids, power surges or transients (exceeding 15V), or electromagnetic interference (exceeding 10 V/m). Additionally, this Warranty excludes coverage for normal wear and tear, such as cosmetic degradation (e.g., scratches, fading of labels, or minor surface abrasions) or performance variations within acceptable tolerances (e.g., a clock speed reduction of less than 5% after 10,000 hours of continuous use), as such changes are inherent to the product’s lifecycle and do not constitute defects. Failures attributable to improper installation (e.g., misalignment in the PCIe slot, use of a power supply unit with insufficient capacity) or operation in applications not expressly documented in the UTTUNGA Technical Manual (e.g., cryptocurrency mining, unless explicitly specified) are similarly excluded from coverage under this Warranty.
5.4. Warranty Voidance: This Warranty shall be rendered null and void in the following circumstances: (i) alteration, removal, or obfuscation of the UTTUNGA serial number affixed to the product, which compromises Calligo Tech’s ability to verify authenticity; (ii) failure to report defects within the Warranty Period, as defined in Section 3, unless diagnostic evidence substantiating the defect’s occurrence within said period is submitted prior to its expiration; or (iii) attempted repairs, servicing, or modifications by personnel or entities not expressly authorized by Calligo Tech in writing. These conditions ensure that Calligo Tech retains control over the integrity of the warranty process and limits its obligations to defects arising from its original manufacturing and software provisioning.
5.5. Additional Exclusions: This Warranty does not extend to any third-party components, accessories, or software not supplied or expressly authorized by Calligo Tech, even if such items are packaged or sold in conjunction with UTTUNGA. Manufacturers, developers, or suppliers of such third-party components may provide independent warranties or support, and purchasers are advised to contact such parties directly for service or recourse. Calligo Tech makes no representation or warranty that UTTUNGA will operate uninterrupted or error-free, nor does it warrant compatibility with third-party hardware, host environments, or open-source packages not explicitly certified in the UTTUNGA Technical Manual. Purchasers are responsible for ensuring adherence to published specifications and usage guidelines. Calligo Tech may restrict warranty support and service logistics to the country or region in which the UTTUNGA product was originally purchased from Calligo Tech or its authorized distributor. Warranty claims initiated outside such jurisdiction may be subject to longer processing times or additional verification requirements. For units purchased within India, service shall be limited to India-based facilities unless otherwise agreed in writing. This Warranty does not apply in the following circumstances:
(a) to consumable components (if any), unless failure has occurred due to defects in materials or workmanship;
(b) to cosmetic damage, such as surface scratches, discoloration, or label wear, unless caused by manufacturing defects;
(c) to damage resulting from use of third-party components not meeting UTTUNGA specifications;
(d) to damage caused by accident, abuse, misuse, fire, water exposure, electrostatic discharge, power surges, or other external causes;
(e) to damage caused by operation outside Calligo Tech’s documented parameters or recommended environmental conditions;
(f) to damage caused by unauthorized servicing, modifications, or upgrades performed by any party other than Calligo Tech or its authorized service providers;
(g) to UTTUNGA units that have been tampered with, physically altered, or used in an application not approved by Calligo Tech;
(h) to normal wear and tear or degradation over time that does not materially impair functionality;
(i) where the serial number has been removed, altered, or rendered illegible;
(j) where the product is subject to a theft report, security lock, or ownership dispute, and the claimant cannot provide satisfactory proof of purchase and identity.
6. Customer Responsibilities
Purchasers of the UTTUNGA HPC accelerator card bear essential obligations to maintain eligibility under this Warranty provided by Calligo Tech. Purchasers shall operate UTTUNGA strictly in accordance with the UTTUNGA Technical Manual, furnished with the product or accessible at https://calligotech.com/uttunga/manual , ensuring compliance with specified operational parameters, including but not limited to a power supply delivering between 5V and 12V DC with a maximum draw of 25W, adequate cooling to maintain ambient temperatures between 0°C and 40°C with airflow of at least 50 cubic feet per minute, and compatibility with host systems featuring PCIe 2.0-compliant slots. Purchasers are required to retain the original proof of purchase, as defined in Section 3.6, and the UTTUNGA serial number in legible form for the duration of the Warranty Period and for a period of not less than six (6) months thereafter, such retention being mandatory to substantiate any warranty claim submitted pursuant to Section 4. Defects shall be reported promptly through Calligo Tech’s designated ticketing system at www.calligotech.com/support/tickets within thirty (30) calendar days from the date of discovery to enable timely evaluation and resolution, failing which Calligo Tech may, at its sole discretion, deny eligibility for claims submitted beyond this period unless justified delay is evidenced per Section 4.1. When directed to ship UTTUNGA to a repair facility as specified in Section 4.2, purchasers shall package the unit securely in accordance with shipping instructions provided with the Claim ID, utilizing materials sufficient to prevent transit damage, and shall bear all associated shipping costs for claims initiated after ninety (90) calendar days from the date of purchase, as stipulated in Section 4.3. Calligo Tech shall not be liable for any damage, loss, or delay occurring during shipment attributable to inadequate packaging or failure to adhere to these instructions, thereby ensuring that responsibility for transit-related risks remains with the purchaser where applicable.
7. Legal Disclaimers and Limitations
Calligo Tech structures this Warranty to define its obligations precisely and limit exposure to unforeseen liabilities.
7.1. Consumer Law Considerations and Mandatory Rights: This Warranty and the remedies set forth herein are exclusive and in lieu of all other warranties, conditions, remedies, or guarantees, whether oral or written, statutory, express or implied, to the fullest extent permitted by applicable law. Calligo Tech expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties against hidden or latent defects, except where such disclaimers are prohibited by applicable consumer protection laws. To the extent that any such statutory or implied warranties cannot be lawfully disclaimed, the duration of such warranties shall be limited to the duration of the express Warranty Period specified in Section 3, and the sole and exclusive remedies available to the purchaser shall be those expressly stated in Section 4 of this Warranty.
7.2. Limited Warranty Scope. This Warranty constitutes the sole and exclusive remedy provided by Calligo Tech to purchasers for defects in UTTUNGA, as defined in Section 2, and supersedes all other warranties, representations, or guarantees, whether express or implied. To the fullest extent permissible under the laws of India, Calligo Tech expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, beyond the explicit terms and conditions articulated herein. This limitation ensures that no additional obligations, whether statutory or otherwise, are imposed upon Calligo Tech except as expressly stated, provided that nothing in this Warranty shall exclude or limit any mandatory statutory rights of purchasers under applicable Indian law that cannot be waived by agreement.
7.3. Limitation of Liability. Except as expressly provided in this Warranty and to the maximum extent permitted by applicable law, Calligo Tech shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, revenue, business opportunities, use, data, savings, goodwill, or reputation, whether arising under contract, tort, statute, or any other legal theory, and regardless of whether such damages were foreseeable or Calligo Tech was advised of the possibility thereof. Calligo Tech further disclaims any liability for the replacement of equipment or property, the cost of recovering, programming, or reproducing any data, or any obligation to maintain the confidentiality of data or information processed using UTTUNGA. Purchasers are solely responsible for implementing adequate safeguards and backup systems in connection with the use of UTTUNGA in any environment where data integrity or confidentiality is material. The total cumulative liability of Calligo Tech under this Warranty shall in no event exceed the original purchase price of the UTTUNGA unit subject to the claim, as evidenced by the proof of purchase. Nothing in this clause shall limit or exclude liability for death or personal injury caused by gross negligence, fraud, or wilful misconduct where such exclusion is not permitted by applicable law. Certain jurisdictions may not permit the exclusion or limitation of certain damages; in such cases, this clause shall apply only to the extent permitted by applicable law. Calligo Tech shall not be liable for any data loss, corruption, security compromise, or computational inconsistency resulting from the use, modification, or failure of the UTTUNGA software stack, including but not limited to firmware, drivers, libraries, or compilers. Purchasers are responsible for implementing appropriate backups, validation mechanisms, and version control when using UTTUNGA in production environments.
7.4. Intellectual Property. This Warranty does not confer upon purchasers any license, right, or interest in Calligo Tech’s intellectual property, including but not limited to the POSIT number system implementation, the TUNGA ASIC design, embedded firmware, or proprietary supporting software, beyond the limited right to use UTTUNGA as supplied for its intended purpose in accordance with the UTTUNGA Technical Manual. Open-source software components integrated into UTTUNGA are governed by their respective licenses (e.g., MIT License, GNU General Public License), and Calligo Tech assumes no responsibility or liability for ensuring purchaser compliance with such licenses or for any infringement claims arising therefrom. Purchasers are expressly prohibited from reverse-engineering, decompiling, or otherwise attempting to derive the source code or design of Calligo Tech’s proprietary elements, except as permitted by mandatory provisions of applicable law, thereby safeguarding Calligo Tech’s intellectual property rights.
7.5. Force Majeure. Calligo Tech shall not be liable for any delay, failure, or inability to fulfil its obligations under this Warranty resulting from events or circumstances beyond its reasonable control, including but not limited to acts of God (e.g., earthquakes, floods, pandemics), war, terrorism, government regulations or actions, labor disputes, supply chain disruptions, or shortages of materials. Such events shall suspend Calligo Tech’s performance obligations for the duration of their impact, and Calligo Tech shall not incur liability for any resulting non-performance, ensuring protection against external risks that impede warranty fulfilment.
7.6. Governing Law and Dispute Resolution. This Warranty shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles, and any disputes arising out of or in connection with this Warranty shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka. Purchasers agree to engage in good-faith negotiations with Calligo Tech as a prerequisite to initiating any legal proceedings, with such negotiations to occur over a period of not less than thirty (30) calendar days. At Calligo Tech’s sole discretion, disputes may be submitted to binding arbitration in Bangalore under the rules of the Arbitration and Conciliation Act, 1996, as amended, with the decision of the arbitrator being final and enforceable in any court of competent jurisdiction. This framework enhances legal predictability, minimizes litigation costs, and preserves Calligo Tech’s control over dispute resolution processes.
7.7. Severability: If any provision of this Warranty is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be reformed to the extent necessary to render it enforceable, consistent with the original intent of this Warranty. This provision ensures the continued applicability of the Warranty despite judicial modification.
